Changing the owner of an LLC is easy in Delaware!

Changing the owner of an LLC is a complicated and expensive process in the U.S. Luckily, this is not the case in Delaware. The only certification required to start your business in Delaware is the Certificate of Formation. While starting an LLC, limited information is needed within this certificate.

The information required for a Certificate of Formation are (1) the name of the company, (2) the name and the address of the registered agent of the company, (3) and the name of the executive of the company.

You don’t have to provide information such as the names/addresses of the members of your company or the number of shares they hold. Therefore, they are not public. This information is included within the LLC Operating Agreement, and this agreement can be regulated as the members of the company wish. One of the most common amendments in these certificates is about members. For example, removing the name of a member, adding a new member or making changes in the dividend rates. Those changes in an LLC Operating Agreement is not required to be filed with the State.
